Mutual non-disclosure and non-solicitation agreement.
By filling out your details and signing below, you agree to the following terms between yourself (“You” or “Contractor”) and Attention Digital (“Agency”).
1. Purpose
The Agency wishes to engage You for freelance services. In connection with these services, the Agency will share certain confidential information regarding its business and its clients (“Client Information”).
2. Confidentiality
You agree to hold all Client Information in strict confidence. This includes, but is not limited to: client names, contact details, business strategies, credentials, passwords, data, and project briefs.
You will not disclose, share, or sell this information to any third party.
You will only use this information for the sole purpose of performing the agreed-upon freelance work.
3. Non-Solicitation & Direct Contact
You agree that you will not, directly or indirectly, bypass the Agency to contact, solicit, or perform services for any client introduced to you by the Agency.
No Direct Contact: You shall not contact the Client directly unless explicitly authorized in writing by the Agency to do so for project completion.
No Direct Hiring: You shall not enter into a direct business or employment relationship with the Client for a period of twenty-four (24) months following the termination of this Agreement.
4. Term and Termination
This Agreement applies to all information shared during the working relationship. The obligations of confidentiality and non-solicitation shall survive for a period of twenty-four (24) months after the freelance project or contract ends.
5. Severability
If any provision of this Agreement is found to be invalid or unenforceable, in whole or in part, by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Indiana.
